Senior Contracts Administrator Purpose The Senior Contracts Administrator is responsible for supporting the administration of the Company's government and commercial contracts and subcontracts throughout the contract lifecycle. This position provides contract review, analysis, drafting, coordination, compliance support, risk identification, and post-award administration in support of Bristow Special Mission Inc. ("BSM"). The Senior Contracts Administrator serves as BSM's primary day-to-day contracts administration resource and works cross-functionally with Operations, Procurement, Finance, Legal, and other functional areas to ensure contractual requirements are identified, communicated, tracked, and appropriately addressed. This position does not have delegated authority to bind the Company, execute agreements, approve contractual commitments, accept contractual terms or modifications, or make final legal or contractual determinations on behalf of the Company. All contractual commitments, final terms, agreements, modifications, and other matters requiring Company approval or signature must be submitted to the BSM Chief Operating Officer and/or Bristow Legal, as applicable, in accordance with the Company's delegation of authority and approval requirements. Essential Duties and Responsibilities
- Support the administration of government and commercial contracts and subcontracts throughout the contract lifecycle, including solicitation, proposal, award, post-award administration, modification, and closeout activities.
- Review and analyze solicitations, Requests for Proposal (RFPs), proposals, contract awards, purchase orders, task orders, delivery orders, agreements, modifications, and contract terms and conditions to identify contractual requirements, risks, obligations, and required actions.
- Support contract and subcontract negotiations by reviewing proposed terms and conditions, preparing recommended positions, drafting proposed revisions and redlines, and coordinating issues requiring approval with the BSM COO and/or Bristow Legal. The position may participate in negotiations but does not have authority to make final commitments or bind the Company.
- Identify contractual, compliance, financial, and business risks and provide recommendations for consideration and approval by appropriate Company leadership and/or Bristow Legal prior to proposal submission, contract execution, or other contractual commitment.
- Review applicable Federal Acquisition Regulation (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), prime contract flow-down provisions, and other contractual requirements and recommend appropriate incorporation into proposals, subcontracts, purchase orders, and related agreements.
- Draft, review, edit, and coordinate contractual agreements, including Non-Disclosure Agreements (NDAs), Proprietary Information Agreements (PIAs), Teaming Agreements (TAs), Subcontract Agreements (SAs), vendor agreements, and other government and commercial agreements, for review and approval by authorized Company representatives. Organize and maintain the libraries of these documents. Provide early warning of expiration dates, duplicative requests, and conflicts related to these documents.
- Communicate contractual requirements, flow-down provisions, deliverables, and other contract obligations to appropriate internal stakeholders and work cross-functionally with Operations, Procurement, Finance, Training, Legal, and other departments to support contract compliance.
- Coordinate the receipt, internal review, routing, approval, execution, and incorporation of contracts, amendments, modifications, and changes in accordance with Company procedures and delegated authorities.
- Provide post-award contract and subcontract administration, including tracking contractual requirements and deliverables, identifying contract-related issues, preparing recommended courses of action, coordinating responses, and supporting timely contract closeout.
- Support the administration, management, tracking, and control of Government-Furnished Property/Equipment (GFP/GFE), Contractor-Acquired Property, and Customer-Furnished Property/Equipment (CFP/CFE), as required by applicable contracts.
- Monitor subcontractor and vendor compliance with applicable contractual requirements contained in purchase orders, delivery orders, task orders, and subcontract agreements and elevate identified issues to appropriate Company leadership.
- Draft, review, and support the administration of aircraft purchase agreements, aircraft lease agreements, and related amendments or modifications, subject to review and approval by authorized Company representatives and Bristow Legal, as applicable.
- Support and maintain required government registrations and filings, including SAM.gov, as applicable, and coordinate required certifications or representations with appropriate Company functions.
- Prepare and support the administration of small business subcontracting plans, when required.
- Assist in the development, maintenance, and oversight of the Company's contracts database, contract files, and associated records.
- Draft, review, and support the administration of dealership agreements, distributor agreements, vendor service agreements, and other commercial agreements, subject to appropriate Company review and approval.
- Maintain accurate and complete contract documentation and records in accordance with Company requirements and applicable regulations.
- Serve as a contracts resource to BSM leadership and functional teams by providing contract research, analysis, recommendations, and administrative support.
- Elevate contractual matters involving material risk, unusual terms, disputes, claims, potential noncompliance, legal interpretation, or commitments outside established parameters to the BSM COO and/or Bristow Legal for review and disposition.
- Perform other duties as assigned.
Contracting Authority The Senior Contracts Administrator is an administrative and advisory position and is not an authorized signatory form the Company unless separately authorized in writing pursuant to an applicable Company delegation of authority. The position may research, analyze, draft, review, edit, recommend, coordinate, and support negotiations related to contractual matters. However, the Senior Contracts Administrator may not independently:
- Execute or sign contracts, subcontracts, agreements, modifications, or other instruments that bind the Company;
- Accept or approve contractual terms or changes on behalf of the Company;
- Commit Company funds or resources;
- Approve deviations from Company policy or established contractual positions;
- Make final legal determinations or provide legal advice on behalf of Bristow Legal; or
- Otherwise obligate the Company without approval from an authorized Company representative.
Final contractual decisions and approvals will remain with the BSM Chief Operating Officer and/or Bristow Legal, or other authorized Company representatives, in accordance with applicable Company policies and delegations of authority. Knowledge, Skills, and Abilities
- Thorough knowledge of contract administration principles and practices, with an emphasis on FAR and DFARS requirements.
- Ability to interpret complex contractual terms and conditions and identify contractual, compliance, financial, and business risks.
- Strong contract analysis, drafting, negotiation-support, and problem-solving skills.
- Ability to develop well-supported recommendations and clearly elevate matters requiring management or legal review.
- Strong organizational skills with the ability to manage multiple priorities and deadlines effectively.
- Ability to work independently in performing contract administration duties while operating within established approval requirements and delegated authorities.
- Ability to recognize matters requiring escalation to Company leadership and/or Bristow Legal.

Required Qualifications
- Bachelor's degree in business, contracts management, legal studies, or a related field.
- Seven (7) years of progressively responsible experience in government and commercial contract and subcontract administration.
- Experience supporting government contract types including Firm-Fixed-Price (FFP), Cost-Plus-Fixed-Fee (CPFF), Cost-Plus-Award-Fee (CPAF), Time-and-Materials (T&M), and Indefinite Delivery/Indefinite Quantity (IDIQ) contracts.
- Demonstrated experience working with FAR and DFARS requirements.
- Proficiency in Microsoft Office Suite, particularly Word and Excel.
Preferred Qualifications
- Juris Doctor (JD), advanced degree in a related field, or relevant professional certification in government contracting or contract management.
- Experience supporting government contracting within the aviation, aerospace, defense, or related industry.
